DEFINITIONS AND SCOPE

1.1 These Terms of Service ("Terms") govern access to and use of the website https://www.advaitwellness.org, any associated mobile application(s), digital interfaces, communication channels, event-based offerings, merchandise, subscription-based services, educational or reflective services, AP MIRROR, and all related products, features, content, offerings, technologies, interfaces, functionalities, and services made available by or through Advait Wellness from time to time (collectively, the "Services").

1.2 Advait Wellness ("Advait Wellness", "We", "Us", "Our") shall include, where the context reasonably permits, its affiliates, trustees, employees, authorised representatives, contractors, service providers, agents, successors, and permitted assigns.

1.3 For the purposes of these Terms:

  1. "Website" means the website presently accessible at https://www.advaitwellness.org, including any subdomains, associated web interfaces, portals, or successor URLs;
  2. "Application" or "App" means any mobile, software, digital, or downloadable application, platform, interface, or software service operated, licensed, or made available by Advait Wellness from time to time;
  3. "AP MIRROR" means the AI-assisted philosophical, reflective, and educational engagement interface operated through Advait Wellness and governed additionally by the AP MIRROR – Special Terms of Use;
  4. "Events" include online or offline gatherings, workshops, lectures, retreats, sessions, discussions, conferences, educational interactions, or other event-based engagements conducted, hosted, facilitated, or organised by Advait Wellness;
  5. "Merchandise" includes books, publications, apparel, educational materials, physical goods, digital goods, branded materials, accessories, or other products made available for purchase, access, or distribution through Advait Wellness;
  6. "Subscription Services" include recurring, paid, trial-based, membership-based, digital, application-based, or other continuing access offerings, features, or services made available by Advait Wellness from time to time;
  7. "Content" includes text, teachings, videos, audio material, lectures, graphics, writings, publications, datasets, software outputs, recordings, educational materials, AI-generated responses, algorithms, compilations, designs, interfaces, and any other material made available through the Services;
  8. "User", "You", or "Your" means any person accessing, browsing, registering for, purchasing, subscribing to, participating in, or otherwise using the Services.

1.4 By accessing, browsing, registering for, purchasing, subscribing to, participating in, or otherwise using any part of the Services, You agree to be bound by these Terms and any applicable service-specific terms, policies, notices, or guidelines incorporated herein by reference.

1.5 Certain Services may be governed by additional service-specific terms, including but not limited to AP MIRROR – Special Terms of Use, Event Terms & Conditions, Merchandise Terms & Conditions, Subscription Terms, Privacy Policy, refund policies, or other applicable policies ("Service-Specific Terms").

1.5A For abundant clarity, use of a particular Service shall constitute acceptance of the Service-Specific Terms applicable to such Service.

1.6 In the event of any inconsistency between these Terms and any applicable Service-Specific Terms, the Service-Specific Terms shall prevail solely to the extent of such inconsistency and only in relation to the relevant Service.

1.7 If You do not agree to these Terms or any applicable Service-Specific Terms, You must refrain from accessing or using the relevant Services.

1.8 These Terms constitute an electronic record in accordance with applicable provisions of the Information Technology Act, 2000 and the rules framed thereunder, as amended from time to time.

INTELLECTUAL PROPERTY

2.1 All Content made available through the Services, including but not limited to teachings, lectures, writings, books, publications, audio-visual material, event recordings, graphics, logos, trademarks, compilations, merchandise designs, software interfaces, AI-generated responses, educational materials, layouts, datasets, text, visual content, digital assets, and associated materials ("Intellectual Property") is owned by, licensed to, controlled by, or otherwise lawfully used by Advait Wellness and/or its respective rights holders and is protected under applicable intellectual property laws.

2.2 The Content made available through the Services reflects curated philosophical, educational, interpretative, is made available solely for personal, educational, reflective, and non-commercial use in accordance with these Terms.

2.3 Subject to these Terms, Users may access, view, download, or share limited excerpts of Content, including reasonable quotations, short excerpts, screenshots, or limited extracts of AP MIRROR responses, solely for personal, educational, reflective, informational, or non-commercial purposes, provided that:

  1. such use does not distort, misrepresent, selectively manipulate, or materially alter the meaning, context, or intent of the original Content;
  2. appropriate attribution to Advait Wellness, Acharya Prashant, or the relevant source, where reasonably applicable, is provided;
  3. such sharing does not create a misleading impression of sponsorship, endorsement, affiliation, or official representation by Advait Wellness; and
  4. such use otherwise complies with these Terms and applicable law.

2.4 Users shall not, without prior written permission from Advait Wellness or the relevant rights holder:

  1. reproduce, commercially exploit, republish, distribute, sell, license, publicly exploit or commercially communicate, monetise, adapt, modify, or create derivative works from any substantial portion of the Content;
  2. use any Content for commercial training, machine learning, automated extraction, data mining, scraping, model development, synthetic dataset creation, or similar technological exploitation;
  3. copy, imitate, reproduce, distribute, commercially exploit, republish, monetise, or otherwise misuse merchandise designs, branding, educational material, books, publications, Event recordings, livestreams, Event-related material, AP MIRROR-generated Content, digital assets, or other proprietary materials;
  4. remove, obscure, alter, or tamper with ownership notices, copyright notices, attribution information, branding, or proprietary identifiers;
  5. selectively clip, manipulate, misrepresent, distort, or present Content in a misleading, defamatory, deceptive, malicious, or contextually false manner; or
  6. falsely represent, imply, or suggest endorsement, sponsorship, authorisation, affiliation, or association with Advait Wellness or Acharya Prashant.

2.5 AP MIRROR responses, while generated through automated systems, remain part of the Services. Users acknowledge that such responses are provided for permitted use under these Terms and do not transfer any ownership or proprietary rights to the User.

2.6 Nothing contained in these Terms shall be construed as granting any licence, ownership right, assignment, or transfer of intellectual property rights except to the limited extent expressly permitted herein.

2.7 Advait Wellness reserves the right to take appropriate legal, technological, operational, or platform-level measures in relation to unauthorised use, infringement, misappropriation, misleading reproduction, misuse, or violation of its intellectual property rights.

  1. such use does not distort, misrepresent, selectively manipulate, or materially alter the meaning, context, or intent of the original Content;
  2. appropriate attribution to Advait Wellness, Acharya Prashant, or the relevant source, where reasonably applicable, is provided;
  3. such sharing does not create a misleading impression of sponsorship, endorsement, affiliation, or official representation by Advait Wellness; and
  4. such use otherwise complies with these Terms and applicable law.

PERMITTED USE

3.1 The Services are intended solely for lawful, personal, educational, reflective, informational, and non-commercial use in connection with accessing Content, participating in Events, engaging with AP MIRROR, purchasing Merchandise, accessing Subscription Services, or otherwise interacting with offerings made available through Advait Wellness, except where expressly authorised in writing by Advait Wellness.

3.2 Subject to these Terms, Users may access and use the Services solely for their intended purpose and in a manner consistent with applicable law, legitimate use, platform integrity, and the reflective and educational nature of the Services.

3.3 Users shall not:

  1. misuse, disrupt, interfere with, damage, impair, overload, circumvent, or compromise the integrity, security, functionality, or operation of the Services, systems, servers, interfaces, or associated infrastructure;
  2. engage in unlawful, fraudulent, abusive, threatening, harmful, deceptive, malicious, defamatory, harassing, or misleading conduct in connection with the Services;
  3. impersonate any person or entity, falsely represent identity, affiliation, endorsement, authority, or association with Advait Wellness, Acharya Prashant, or any authorised representative;
  4. access or attempt to access restricted systems, accounts, databases, APIs, infrastructure, or technological components without authorisation;
  5. interfere with, manipulate, attempt to reverse engineer, circumvent, automate access to, scrape, data mine, or otherwise exploit the Services or underlying systems in a manner inconsistent with these Terms or applicable law;
  6. upload, transmit, distribute, introduce, or facilitate malicious code, malware, viruses, bots, harmful scripts, automated systems, or disruptive technological activity;
  7. use the Services in a manner reasonably likely to harm, mislead, exploit, harass, endanger, intimidate, or materially interfere with the experience, safety, or lawful rights of other Users or third parties;
  8. misuse AP MIRROR, Events, Merchandise, Subscription Services, communication channels, recordings, event access, account-based features, or any other Services for unlawful, deceptive, exploitative, manipulative, harmful, misleading, commercial exploitation, unauthorised redistribution, impersonation, or otherwise prohibited purposes; or
  9. otherwise engage in conduct reasonably inconsistent with the intended nature, lawful use, security, educational purpose, or operational integrity of the Services.

3.4 Advait Wellness reserves the right, without obligation, to suspend, restrict, limit, deny, or terminate access to any part of the Services where it reasonably believes a User has violated these Terms, created legal, operational, safety, security, reputational, or technological risk, or otherwise engaged in inappropriate, harmful, unlawful, or disruptive conduct.

3.5 Nothing in this Section shall be construed as limiting any Service-Specific Terms, including the AP MIRROR – Special Terms of Use, Event Terms & Conditions, Merchandise Terms & Conditions, Subscription Terms, or any other applicable policies.

ACCOUNTS, REGISTRATION, AND USER INFORMATION

4.1 Certain Services, including AP MIRROR, Subscription Services, application-based features, Event participation, Merchandise purchases, account-based offerings, or other functionalities, may require account registration, submission of contact details, login credentials, verification, or provision of other information as may be required from time to time.

4.2 Users agree to provide accurate, complete, current, and truthful information at the time of registration, purchase, subscription, access, or use of the Services and to update such information where reasonably necessary to maintain accuracy.

4.3 Users shall be responsible for maintaining the confidentiality, security, and control of login credentials, passwords, authentication methods, devices, and account access information associated with the Services.

4.4 Users shall be responsible for activities undertaken through their account to the extent arising from failure to reasonably safeguard account credentials, misuse of the account by the User, or authorised access granted by the User to another person.

4.5 Users shall not:

  1. create accounts using false, misleading, impersonated, fraudulent, or unauthorised identity information;
  2. use another person's credentials, account, contact details, or identity without lawful authority or consent;
  3. transfer, share, sell, lease, sublicense, permit unauthorised access to, or otherwise allow third-party use of account-based Services, Event access, Subscription Services, AP MIRROR access, recordings, credentials, or access-linked benefits where such use is prohibited under applicable Service-Specific Terms; or
  4. create multiple accounts for the purpose of manipulating, abusing, evading restrictions, circumventing limitations, or otherwise misusing the Services.

4.6 Advait Wellness reserves the right, without obligation, to verify information, request additional information, suspend, restrict, deny, or terminate account access, or limit use of the Services where it reasonably believes that:

  1. information provided is inaccurate, misleading, incomplete, fraudulent, or unauthorised;
  2. account activity violates these Terms or any Service-Specific Terms;
  3. use of the account creates legal, operational, safety, technological, reputational, or security risk; or
  4. such action is reasonably necessary to maintain platform integrity, lawful operation, security, or user safety.

4.7 Advait Wellness shall not be liable for loss, unauthorised access, misuse, impersonation, disclosure, or compromise arising from a User's failure to reasonably maintain confidentiality or security of account credentials, devices, authentication methods, or access-related information, or from circumstances reasonably beyond Advait Wellness' control.

4.8 Registration for or continued use of account-based Services may additionally be subject to applicable Privacy Policy, communications consent provisions, Subscription Terms, AP MIRROR – Special Terms of Use, or other Service-Specific Terms.

ELIGIBILITY

5.1 Subject to Clause 5.3, access to and use of the Services is limited to persons competent to contract under applicable laws of India.

5.2 By accessing, registering for, subscribing to, purchasing, participating in, or otherwise using the Services, Users represent and warrant that:

  1. they possess the legal capacity and authority to enter into and comply with these Terms; and
  2. they are not prohibited by applicable law from accessing or using the Services.

5.3 Minors may access or use certain Services only under the supervision, involvement, guidance, or consent of a parent or lawful guardian. In such circumstances, the parent or lawful guardian shall be deemed responsible for the minor's access to and use of the Services, including AP MIRROR, Events, Subscription Services, Merchandise-related interactions, or account-based features, and for compliance with these Terms.

5.4 Certain Services, including AP MIRROR, Events, Subscription Services, Merchandise-related Services, or application-based features, may be subject to additional eligibility requirements, restrictions, supervision requirements, payment requirements, account requirements, consent requirements, or Service-Specific Terms.

5.5 Advait Wellness reserves the right, without obligation, to suspend, restrict, deny, or terminate access to any Service where it reasonably believes that eligibility requirements are not met, information provided is inaccurate or misleading, consent requirements are not satisfied, or continued access is otherwise inappropriate or inconsistent with these Terms or applicable law.

FEES, PAYMENTS, BILLING, AND SUBSCRIPTION FRAMEWORK

6.1 Certain Services may be made available free of charge, while others may require payment, subscription, registration fees, Event fees, AP MIRROR-related access fees, Merchandise purchases, application-based payments, recurring payments, or other charges as may be applicable from time to time.

6.2 Advait Wellness reserves the right to introduce, revise, modify, suspend, discontinue, or restructure pricing models, fees, subscriptions, paid features, premium access, service tiers, billing structures, or payment requirements in relation to any Service, including Services previously offered free of charge, subject to applicable law, platform requirements, and any applicable Service-Specific Terms.

6.3 Prices, fees, subscriptions, charges, payment structures, taxes, levies, convenience fees, platform fees, shipping charges, Event-related charges, Merchandise-related charges, or other amounts applicable to a Service shall be communicated through the relevant Service interface, purchase process, Event registration process, application, subscription flow, checkout mechanism, or other applicable mechanism.

6.4 Users agree to pay all applicable charges, taxes, duties, levies, processing charges, shipping charges, recurring subscription amounts, or other amounts associated with the Services selected or purchased by them.

6.5 Payments may be processed through third-party payment gateways, application stores, payment aggregators, processors, banks, financial intermediaries, or other authorised payment partners. Advait Wellness shall not be liable for failures, interruptions, delays, unauthorised payment activity, banking restrictions, processor downtime, or payment-related disruptions attributable to third-party systems or circumstances reasonably beyond its control.

6.6 Subscription-based Services, recurring billing arrangements, auto-renewals, billing cycles, payment methods, pricing revisions, cancellation rights, trial periods, refund conditions, or subscription-specific requirements may be governed by additional Service-Specific Terms, platform rules, application marketplace requirements, or billing policies applicable to the relevant Service.

6.7 Payments made in connection with the Services may be non-refundable except as expressly stated in applicable Service-Specific Terms, refund policies, or where otherwise required under applicable law. Eligibility for refunds, cancellations, exchanges, replacements, credits, event transfers, shipping claims, subscription cancellations, or payment reversals shall be governed by the relevant Service-Specific Terms, refund policy, or applicable law.

6.8 Advait Wellness reserves the right to suspend, limit, discontinue, restrict, or deny access to any paid, Event-related, Merchandise-related, account-linked, or subscription-based Service in the event of failed payments, chargebacks, payment reversals, billing disputes, unauthorised payment activity, suspected misuse, cancellation-related abuse, or non-payment.

6.9 Nothing in this Section shall obligate Advait Wellness to continue any Service, pricing model, subscription tier, free offering, promotional arrangement, or paid feature for any particular duration.

COMMUNICATIONS, CONSENT, OUTREACH, AND NOTIFICATIONS

7.1 By registering for, accessing, subscribing to, participating in, purchasing, interacting with, signing in to, or otherwise using the Services, Users acknowledge and expressly consent to receive communications in connection with the Services from Advait Wellness and, where applicable, PrashantAdvait Foundation, subject to applicable law, these Terms, the Privacy Policy, and applicable Service-Specific Terms. Such consent includes consent to receive communications through email, telephone calls, SMS, messaging platforms (including WhatsApp or similar services), in-application notifications, website notifications, communication interfaces, digital channels, or such other communication methods as may reasonably be used from time to time in relation to the Services, programmes, Events, educational content, outreach activities, community engagement initiatives, Merchandise-related offerings, Subscription Services. Unless withdrawn earlier in accordance with these Terms or applicable law, such consent shall remain valid for a period of THREE (3) years from the date on which it is provided.

7.2 Such communications may include account-related communications, authentication messages, security notifications, service announcements, transactional communications, billing-related communications, technical notices, updates, reminders, Event-related information, Subscription notices, AP MIRROR-related communications, Merchandise-related communications, purchase confirmations, shipping-related updates, educational materials, reflective content, informational updates, support communications, outreach communications, community engagement communications, and other communications reasonably connected with the Services.

7.3 Communications may be delivered by Advait Wellness and/or, where applicable, PrashantAdvait Foundation through email, telephone calls, SMS, messaging platforms, in-application notifications, website notifications, communication interfaces, digital channels, or such other communication methods as may be reasonably used from time to time.

7.4 Users acknowledge and understand that engagement with certain Services, including AP MIRROR, educational or reflective offerings, Events, Subscription Services, Merchandise-related interactions, or application-based interactions, may in certain cases result in educational, reflective, informational, service-related, outreach, or community engagement communications intended to facilitate continued engagement with teachings, offerings, Events, educational resources, Merchandise-related support, Subscription Services, or related initiatives.

7.5 Certain communications, including service announcements, authentication messages, billing communications, legal notices, security alerts, account-related communications, operational notices, and transactional communications, may be essential to the functioning of the Services and may continue notwithstanding any opt-out preference, to the extent permitted under applicable law.

7.6 Users may opt out of non-essential, promotional, marketing, outreach-related, educational engagement, or community engagement communications in accordance with applicable law, available communication preferences, unsubscribe mechanisms, account settings, or instructions communicated by Advait Wellness from time to time. Withdrawal of consent shall not affect communications that are reasonably necessary for the provision, administration, security, operation, or continued delivery of the Services, to the extent permitted under applicable law.

7.7 Users are responsible for ensuring that contact information, communication preferences, and account information remain reasonably accurate and updated to facilitate appropriate communication regarding the Services.

7.8 Advait Wellness shall not be liable for missed communications, failed delivery, delayed notices, service interruptions, or communication failures arising from inaccurate contact details, spam filters, carrier restrictions, device settings, third-party platform limitations, technical disruptions, or circumstances reasonably beyond its control.

7.9 Nothing in this Section shall be construed as obligating Advait Wellness to provide any specific communication, reminder, outreach, notification, or follow-up in relation to any Service unless otherwise expressly required under applicable law or Service-Specific Terms.

DISCLAIMER

8.1 The Services are provided on an "as is", "as available", and "as may be modified from time to time" basis, without warranties, guarantees, or representations of any kind except to the extent expressly required under applicable law.

8.2 Advait Wellness makes no representation, warranty, or guarantee regarding the uninterrupted availability, completeness, reliability, suitability, accuracy, accessibility, effectiveness, continuity, timeliness, security, usefulness, or fitness for a particular purpose of the Services, Content, Events, Merchandise, Subscription Services, AP MIRROR, communications, educational materials, or any associated offering.

8.3 The Services are intended primarily for educational, reflective, informational, philosophical, community-oriented, or engagement-related purposes and shall not, unless expressly stated otherwise, constitute professional, medical, psychiatric, psychological, therapeutic, legal, financial, emergency, regulatory, or other specialised advice, representation, diagnosis, assessment, or intervention.

8.4 Users acknowledge that experiences, interpretations, educational value, reflective outcomes, personal impact, Event experiences, AP MIRROR interactions, Merchandise-related expectations, Subscription Services experiences, learning outcomes, behavioural changes, emotional responses, or perceived benefits arising from use of the Services may differ materially between individuals and that no specific outcome, benefit, transformation, resolution, insight, result, experience, satisfaction, or expectation is promised, guaranteed, or assured.

8.5 Content, communications, teachings, AP MIRROR interactions, educational material, Events, Event recordings, reflective resources, informational material, Merchandise-related material, or Subscription Services-related material made available through the Services may contain limitations, simplifications, contextual constraints, evolving interpretations, omissions, inaccuracies, interruptions, or errors and should be independently evaluated by Users using their own judgment and discretion.

8.6 Certain Services may rely upon third-party systems, AI-assisted systems, payment gateways, communication providers, digital infrastructure, event venues, logistics providers, hosting providers, cloud infrastructure, application marketplaces, internet connectivity, device compatibility, or other dependencies outside the reasonable control of Advait Wellness. Advait Wellness does not guarantee uninterrupted operation, performance, compatibility, availability, or fault-free functioning of such third-party dependencies.

8.7 Nothing in this Section shall limit or override any Service-Specific Terms, including the AP MIRROR – Special Terms of Use, Event Terms & Conditions, Merchandise Terms & Conditions, Subscription Terms, Privacy Policy, refund policies, or any other applicable terms, which shall additionally apply to the relevant Service.

LIMITATION OF LIABILITY

9.1 To the maximum extent permitted under applicable law, Advait Wellness, its trustees, employees, authorised representatives, contractors, service providers, agents, or affiliated entities shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, remote, speculative, or similar loss or damage arising out of or in connection with the Services.

9.2 Without limiting the generality of Clause 9.1, Advait Wellness shall not be liable for any loss, damage, claim, liability, inconvenience, expense, disappointment, expectation loss, emotional distress, reputational harm, loss of opportunity, loss of data, interruption, delayed access, failed communication, payment disruption, technical failure, third-party system disruption, Event-related issue, AP MIRROR-related issue, Merchandise-related issue, Subscription interruption, perceived dissatisfaction, or consequence arising from:

  1. access to, inability to access, delay, interruption, modification, suspension, discontinuation, or use of the Services;
  2. reliance upon, interpretation of, misunderstanding of, dissatisfaction with, or use of Content, communications, AP MIRROR interactions, educational materials, teachings, Events, Event recordings, Merchandise-related material, Subscription Services-related material, or reflective material;
  3. user decisions, actions, omissions, expectations, personal interpretations, emotional responses, behavioural changes, or perceived outcomes associated with the Services;
  4. third-party platforms, AI-assisted systems, payment gateways, hosting providers, cloud infrastructure, application marketplaces, logistics providers, communication providers, internet disruptions, device limitations, technical failures, or dependencies outside the reasonable control of Advait Wellness; or
  5. unauthorised access, technical malfunction, delay, downtime, interruption, data loss, account compromise, or circumstances reasonably beyond the control of Advait Wellness.

9.3 Nothing contained in these Terms shall exclude or limit liability to the extent such exclusion or limitation is impermissible under applicable law.

9.4 Users acknowledge and agree that access to and use of the Services, including AP MIRROR, Events, Merchandise, Subscription Services, and related offerings, is undertaken voluntarily, at their own discretion, and subject to these Terms and any applicable Service-Specific Terms.

INDEMNITY

10.1 Users agree to indemnify, defend, and hold harmless Advait Wellness, its trustees, employees, authorised representatives, contractors, service providers, agents, affiliated entities (where applicable), successors, and permitted assigns from and against any claims, complaints, proceedings, demands, liabilities, damages, penalties, losses, costs, expenses, or reasonable legal fees arising out of or in connection with:

  1. violation of these Terms or any applicable Service-Specific Terms;
  2. misuse of the Services, including AP MIRROR, Events, Merchandise, Subscription Services, Event access, Event recordings, account-based features, communication channels, Content, educational material, or related offerings;
  3. infringement, misappropriation, unauthorised use, distortion, manipulation, misrepresentation, misleading presentation, or violation of intellectual property, privacy, contractual, statutory, proprietary, or other rights of Advait Wellness or any third party;
  4. unlawful, fraudulent, harmful, deceptive, abusive, defamatory, threatening, misleading, malicious, or unauthorised conduct by a User;
  5. misuse of account credentials, unauthorised account activity attributable to the User, fraudulent payment activity, chargebacks, payment disputes, refund abuse, subscription-related misuse, Event-related payment disputes, Merchandise-related payment disputes, or unauthorised transactions arising from User conduct; or
  6. any claim, complaint, proceeding, regulatory action, or third-party allegation arising from a User’s acts, omissions, misuse of the Services, or breach of these Terms.

10.2 Advait Wellness reserves the right, at its discretion and subject to applicable law, to assume conduct, control, defence, settlement, or resolution of any matter subject to indemnification under this Section, including recovery of reasonable costs where legally permissible, and the User agrees to reasonably cooperate with such process.

10.3 Nothing in this Section shall impose liability upon a User to the extent a claim, loss, or liability arises solely from gross negligence, wilful misconduct, or unlawful conduct attributable to Advait Wellness.

10.4 This Section shall survive suspension, discontinuation, or termination of access to the Services to the extent reasonably necessary to enforce rights, resolve disputes, or address pending matters arising prior to such suspension or termination.

SUSPENSION, RESTRICTION, AND TERMINATION OF SERVICES

11.1 Advait Wellness reserves the right, without obligation and where reasonably necessary or appropriate, to suspend, restrict, deny, modify, discontinue, or terminate access to any part of the Services, temporarily or permanently, with or without notice, where it reasonably believes that:

  1. a User has violated these Terms, any Service-Specific Terms, applicable law, or platform requirements;
  2. a User has engaged in misuse, abuse, fraudulent conduct, harmful conduct, deception, impersonation, unauthorised activity, prohibited conduct, misuse of AP MIRROR, Events, Merchandise, Subscription Services, account-based access, Event access, recordings, communication channels, or conduct otherwise inconsistent with the intended use of the Services;
  3. account information, payment information, consent requirements, eligibility requirements, or identity-related information is inaccurate, misleading, fraudulent, incomplete, or unauthorised;
  4. use of the Services creates legal, operational, safety, security, technological, reputational, financial, or compliance-related risk;
  5. payment failures, chargebacks, billing disputes, suspected misuse, unauthorised payment activity, subscription violations, refund abuse, Event-related payment disputes, Merchandise-related payment disputes, recurring payment failures, or other payment-related concerns arise;
  6. technical maintenance, system upgrades, infrastructure changes, security concerns, third-party dependency failures, operational disruptions, regulatory requirements, or force majeure circumstances reasonably require limitation, interruption, modification, or discontinuation of Services; or
  7. continuation of access is otherwise reasonably inconsistent with platform integrity, lawful operations, security, safety, or the intended functioning of the Services.

11.2 Suspension, restriction, discontinuation, or termination of access to one Service shall not automatically entitle a User to continued access to another Service, refund, compensation, restoration, reinstatement, or continued availability unless otherwise expressly stated in applicable Service-Specific Terms or required under applicable law.

11.3 Advait Wellness shall not be liable for suspension, restriction, interruption, discontinuation, denial, modification, or termination of access undertaken in accordance with these Terms, to the extent permitted under applicable law.

11.4 Users may discontinue use of the Services at any time, subject to any applicable AP MIRROR terms, Subscription Services, billing requirements, Event-related terms, Merchandise-related terms, refund policies, cancellation conditions, or other Service-Specific Terms.

11.5 Clauses which by their nature are intended to survive suspension, discontinuation, or termination, including but not limited to intellectual property, indemnity, limitation of liability, payment obligations, dispute resolution, privacy-related obligations, or accrued rights and liabilities, shall continue to apply to the extent reasonably necessary.

PRIVACY, DATA PROCESSING, AND INFORMATION HANDLING

12.1 Use of the Services may require or involve collection, receipt, processing, retention, analysis, storage, verification, disclosure, or handling of information relating to Users, including contact details, account information, communication information, engagement history, AP MIRROR interactions, prompts, queries, interactions, usage-related information, subscription information, purchase-related information, Merchandise-related information, Event participation information, event registration information, technical information, and other information reasonably connected with the Services.

12.2 Advait Wellness may process information for purposes including account administration, service delivery, authentication, troubleshooting, quality improvement, platform administration, operational continuity, security, user support, billing, Event administration, Merchandise fulfilment, Subscription Services administration, AP MIRROR-related operation, educational and reflective engagement, outreach-related communications, outreach-related engagement, community engagement, legal compliance, fraud prevention, safety-related review, complaint handling, platform integrity, and other purposes reasonably connected with operation of the Services.

12.3 Users acknowledge and understand that certain Services, including AP MIRROR, account-based Services, Subscription Services, Events, Merchandise-related Services, application-based interactions, or engagement-related Services, may involve analysis of usage patterns, interaction history, engagement activity, or service-related behaviour for purposes including service improvement, troubleshooting, quality assurance, operational continuity, educational engagement, outreach-related purposes, safety-related concerns, complaint handling, and platform administration.

12.4 Users acknowledge that certain interactions, communications, or service-related information may, where reasonably necessary for troubleshooting, complaint handling, technical investigation, safety-related concerns, legal compliance, operational continuity, quality review, fraud prevention, or platform integrity, be reviewed on a limited and need-to-know basis by authorised personnel.

12.5 Advait Wellness may engage third-party service providers, technology vendors, AI-assisted systems, payment processors, communication providers, hosting providers, analytics providers, logistics partners, Event-related partners, cloud infrastructure providers, or other authorised processors in connection with operation of the Services, subject to applicable law and reasonable safeguards.

12.6 Further details relating to collection, use, processing, storage, retention, consent mechanisms, communication preferences, user rights, opt-out mechanisms, grievance handling, correction requests, deletion requests, data retention practices, or applicable privacy-related practices shall be governed by the Privacy Policy, which is incorporated into these Terms by reference.

12.7 By accessing or using the Services, Users acknowledge that information may be processed in accordance with these Terms, the Privacy Policy, applicable Service-Specific Terms, and applicable law.

12.8 Nothing in this Section shall be construed as limiting rights available to Users under applicable privacy or data protection law to the extent mandatorily applicable.

THIRD-PARTY SERVICES, LINKS, PLATFORMS, AND DEPENDENCIES

13.1 The Services may involve, integrate with, depend upon, enable access to, or include third-party services, AI-assisted systems, software, platforms, payment gateways, communication providers, hosting services, cloud infrastructure, analytics providers, logistics partners, Event venues, Event-related vendors, marketplaces, application stores, embedded technologies, external websites, linked resources, content, products, tools, or infrastructure operated by third parties.

13.2 Access to or use of certain Services may require Users to access, interact with, download, subscribe to, register for, purchase through, or otherwise engage with third-party platforms, applications, marketplaces, communication systems, payment processors, logistics providers, Event platforms, ticketing systems, application stores, or service providers in connection with AP MIRROR, Events, Merchandise, Subscription Services, or other Services.

13.3 Advait Wellness does not own, operate, or control third-party services except where expressly identified and makes no representation, warranty, endorsement, or guarantee regarding the availability, accuracy, reliability, legality, compatibility, performance, security, policies, practices, products, content, or conduct of third-party platforms or providers.

13.4 Links to external websites, third-party content, embedded services, third-party integrations, references, tools, or resources are provided solely for convenience, accessibility, or operational purposes and shall not be construed as endorsement, sponsorship, recommendation, approval, or representation by Advait Wellness unless expressly stated otherwise.

13.5 Users acknowledge that use of third-party services, applications, platforms, payment systems, communication providers, logistics providers, Event platforms, application stores, AI-assisted systems, or external resources may be governed by separate terms, privacy policies, billing rules, platform requirements, subscription rules, operational requirements, or contractual arrangements of such third parties, and Users remain responsible for reviewing and complying with such requirements.

13.6 Advait Wellness shall not be liable for interruption, delay, payment failure, technical disruption, service outage, account issue, communication failure, shipping issues, Event-related disruption, AP MIRROR-related interruption, Subscription Service interruption, loss, incompatibility, policy restriction, third-party misconduct, or any other issue arising from or attributable to third-party services or circumstances reasonably beyond the control of Advait Wellness, to the extent permitted under applicable law.

13.7 Nothing in this Section shall be construed as obligating Advait Wellness to maintain, support, continue, or ensure compatibility with any specific third-party platform, service provider, marketplace, communication provider, application store, technology, or integration.

FORCE MAJEURE

14.1 Advait Wellness shall not be liable for any delay, interruption, suspension, failure, limitation, disruption, modification, cancellation, postponement, or inability to perform any obligation or provide any part of the Services, including AP MIRROR, Events, Merchandise-related Services, Subscription Services, communications, or related offerings, where such delay, interruption, suspension, failure, limitation, disruption, modification, cancellation, postponement, or inability arises from circumstances reasonably beyond its control.

14.2 Such circumstances may include, without limitation, natural disasters, floods, earthquakes, fire, epidemics, pandemics, public health emergencies, governmental actions, regulatory restrictions, changes in law, war, terrorism, civil unrest, labour disruptions, strikes, lockouts, internet failures, telecommunications failures, hosting failures, cloud infrastructure failures, AI-assisted system failures, payment system disruptions, cyber incidents, denial-of-service attacks, infrastructure failures, electricity outages, third-party dependency failures, logistics disruptions, transportation disruptions, Event venue disruptions, supply chain interruptions, application marketplace disruptions, or other force majeure circumstances.

14.3 Advait Wellness reserves the right to suspend, modify, postpone, reschedule, cancel, restrict, or discontinue any Service, Event, Subscription Service, AP MIRROR functionality, communication, Merchandise-related offering, or functionality to the extent reasonably necessary in connection with circumstances described in this Section.

14.4 Nothing in this Section shall excuse payment obligations already accrued, obligations expressly intended to survive suspension, discontinuation, or termination, or liabilities that cannot be excluded or limited under applicable law.

CHANGES TO TERMS, SERVICES, AND POLICIES

15.1 Advait Wellness reserves the right to modify, amend, update, supplement, replace, revise, suspend, discontinue, or otherwise change these Terms, any Service-Specific Terms, policies, offerings, functionalities, Content, Services, Subscription Services, AP MIRROR functionality, Events, Merchandise offerings, application-based features, pricing structures, payment frameworks, subscription models, billing arrangements, or related operational frameworks from time to time.

15.2 Changes may be made for reasons including legal compliance, regulatory requirements, operational necessity, technological developments, security considerations, platform requirements, service improvements, business or organisational requirements, user experience enhancements, risk management, or other purposes reasonably connected with operation of the Services.

15.3 Where reasonably necessary or required under applicable law, platform requirements, or Service-Specific Terms, Advait Wellness may provide notice of material changes through website notices, application notices, email, account communications, updates to published policies, or other reasonable communication mechanisms.

15.4 Continued access to or use of the Services following any modification, amendment, revision, update, or change may constitute acknowledgment and acceptance of the revised Terms, policies, pricing frameworks, or applicable Service-Specific Terms, to the extent permitted under applicable law.

15.5 Users who do not agree with revised Terms, policies, or Service-Specific Terms may discontinue use of the affected Services, including AP MIRROR, Events, Subscription Services, Merchandise-related Services, or application-based offerings, subject to any applicable subscription, billing, cancellation, refund, Event-related, Merchandise-related, or Service-Specific Terms.

15.6 Nothing in this Section shall obligate Advait Wellness to maintain any specific feature, offering, functionality, pricing structure, Service, Event, Subscription Service, AP MIRROR functionality, Merchandise offering, or operational framework for any particular duration.

GOVERNING LAW AND JURISDICTION

16.1 These Terms, the Services, any Service-Specific Terms, and any dispute, claim, issue, or matter arising out of or in connection with the Services, these Terms, any Service-Specific Terms, or use of the Services shall be governed by and construed in accordance with the laws of India.

16.2 Subject to applicable law and any dispute resolution mechanism expressly provided under these Terms or applicable Service-Specific Terms, the courts of competent jurisdiction at Gautam Buddha Nagar, Uttar Pradesh shall have exclusive jurisdiction in relation to disputes arising out of or in connection with these Terms, the Services, or any applicable Service-Specific Terms.

DISPUTE RESOLUTION

17.1 In the event of any dispute, concern, grievance, claim, or issue arising out of or in connection with the Services, these Terms, any Service-Specific Terms, payments, Subscription Services, Events, Merchandise, AP MIRROR, communications, or use of the Services, Users are encouraged to first contact Advait Wellness through the applicable support, grievance, or contact mechanism made available from time to time in an effort to facilitate good-faith resolution.

17.2 Advait Wellness and the concerned User may, where reasonably appropriate, attempt to resolve disputes, complaints, concerns, or grievances through discussion, clarification, support channels, grievance mechanisms, communications, or other reasonable means prior to initiation of formal legal proceedings.

17.3 Nothing in this Section shall prevent either party from seeking remedies available under applicable law, including urgent, interim, statutory, injunctive, consumer, or other relief before a competent forum, tribunal, authority, or court.

17.4 In the event a dispute is not resolved through the mechanisms contemplated under this Section, such dispute shall remain subject to Section 16 (Governing Law and Jurisdiction), any applicable Service-Specific Terms, and remedies available under applicable law.

SEVERABILITY

18.1 If any provision, clause, term, or part of these Terms, any Service-Specific Terms, or any applicable policy is held to be invalid, unlawful, unenforceable, or otherwise ineffective by a court, tribunal, or competent authority, such provision shall, to the extent reasonably necessary, be deemed severed or modified to the minimum extent required, and the remaining provisions shall continue in full force and effect.

18.2 Invalidity, unenforceability, non-applicability, or modification of any provision shall not affect validity, enforceability, legality, interpretation, or continued operation of the remaining provisions of these Terms, any Service-Specific Terms, or applicable policies.

WAIVER

19.1 Failure, delay, omission, or decision not to exercise, enforce, invoke, or rely upon any right, remedy, discretion, entitlement, protection, or provision available under these Terms, any Service-Specific Terms, or applicable law shall not constitute a waiver of such right, remedy, discretion, entitlement, protection, or provision.

19.2 Any waiver of any provision of these Terms or any applicable Service-Specific Terms shall be effective only if expressly made in writing by an authorised representative of Advait Wellness.

19.3 Any waiver relating to a particular circumstance, breach, event, or occurrence shall not be construed as a continuing waiver or as applying to any subsequent, similar, or unrelated breach, circumstance, event, or occurrence.

ENTIRE AGREEMENT

20.1 These Terms, together with any applicable Service-Specific Terms, Privacy Policy, refund policies, notices, disclosures, subscription terms, event terms, merchandise terms, and any other policies expressly incorporated by reference, constitute the entire understanding and agreement between Advait Wellness and the User in relation to access to and use of the Services.

20.2 These Terms supersede prior understandings, communications, discussions, representations, or arrangements relating to the Services, whether oral or written, to the extent relating to the same subject matter, except where otherwise expressly stated or required under applicable law.

20.3 Nothing in this Section shall be construed as limiting rights, remedies, disclosures, obligations, or protections mandatorily available under applicable law.

21.2 Advait Wellness may designate authorised representatives, support personnel, grievance officers, nodal contacts, compliance representatives, or other responsible personnel for handling user concerns, grievances, notices, compliance matters, privacy-related requests, or service-related issues, and such information may be updated from time to time through official channels.

21.3 Unless otherwise expressly required under applicable law or Service-Specific Terms, any notice, communication, disclosure, update, or information provided by Advait Wellness through the Website, Application, registered account, email, messaging channels, or other reasonable communication mechanisms shall be deemed reasonably sufficient for purposes of communication relating to the Services.

AP MIRROR – SPECIAL TERMS OF USE

NATURE OF SERVICE

AP MIRROR is an AI-assisted philosophical, reflective, and educational engagement service made available through Advait Wellness (“AP MIRROR”).

AP MIRROR is designed to facilitate reflective inquiry, philosophical engagement, and educational interaction based on the teachings, interpretative framework, and philosophical approach associated with Acharya Prashant.

Responses generated through AP MIRROR are automated in nature and produced using artificial intelligence systems trained, configured, or guided to respond substantially in accordance with Acharya Prashant’s Teachings. While responses may appear contextualized or personalised to a User’s query, they are generated through automated systems and do not constitute personalised professional consultation, counselling, therapy, professional advice, or advice reviewed or endorsed by a human expert.

AP MIRROR is intended solely as a reflective, philosophical, and educational interface. It does not provide medical, psychiatric, psychological, legal, financial, emergency, therapeutic, crisis, or other professional advice or intervention.

No specific outcome, emotional result, personal transformation, resolution, or benefit is represented, guaranteed, or assured through use of AP MIRROR. Users are expected to exercise independent judgment and discretion while engaging with any response generated through the service.

FRAMEWORK OF RESPONSES

SYSTEM AVAILABILITY AND MODIFICATION

AP MIRROR is provided on an “as available” basis and may experience interruptions, delays, inaccuracies, technical failures, downtime, maintenance periods, model updates, content changes, or operational modifications.

Advait Wellness does not guarantee uninterrupted access, continuous availability, error-free operation, preservation of chat history, or compatibility with all devices, software environments, or systems.

Advait Wellness reserves the right to modify, suspend, restrict, discontinue, replace, or update AP MIRROR, in whole or in part, at any time, with or without notice.
